On September 16, 2015, Samson Resources Corporation and certain of its affiliates, (collectively, the "Debtors") filed voluntary petitions for relief under chapter 11 of title 11 of the United States Code (the "Chapter 11 Cases")in the United States Bankruptcy Court for the District of Delaware (the "Bankruptcy Court").

On February 13, 2017, the Court entered an order confirming the Global Settlement Joint Chapter 11 Plan of Reorganization of Samson Resources Corporation and its Debtor Affiliates (the "Plan"). The Initial Effective Date of the Plan occurred on February 28, 2017 and the Final Effective Date of the Plan occurred on March 1, 2017.

The Plan called for the establishment of the Settlement Trust to hold and administer the Settlement Trust Assets and to make distributions to the Settlement Trust Beneficiaries.
