On November 2, 2006, The New York Racing Association Inc. ("NYRA" or the "Debtor") filed a voluntary petition for reorganization pursuant to chapter 11 of the United States Bankruptcy Code with the United States Bankruptcy Court for the Southern District of New York (the "Bankruptcy Court"). NYRA's chapter 11 case is Case Number 06-12618, and is currently pending before the Honorable James M. Peck.

THE GENERAL BAR DATE AND CLAIM FORM

Pursuant to an order, dated April 13, 2007 (the "Bar Date Order"), the Bankruptcy Court set June 4, 2007, at 5:00 p.m. (Eastern Standard Time) (the "Bar Date"), as the deadline for filing claims against the Debtor. Anyone wishing to assert a claim against the Debtor was required to submit to the Bankruptcy Court an original, completed proof of claim, together with any accompanying or supporting documentation, by the Bar Date. Any person or entity who was required, pursuant to the Bar Date Order, but failed to timely file a claim against the Debtor is forever barred, estopped and enjoined from asserting such claim against the Debtor.

SOLICITATION OF VOTES ON PROPOSED CHAPTER 11 PLAN OF REORGANIZATION

The Debtor filed its Third Amended Plan Pursuant to Chapter 11 of the United States Bankruptcy Code (as further amended, the "Plan") and related Disclosure Statement, on November 29, 2007. By order, dated November 29, 2007 (the "Disclosure Statement Order"), the Bankruptcy Court approved the Disclosure Statement. The Disclosure Statement Order directed the Debtor to solicit votes to accept or reject the Plan, and established November 12, 2007, as the record date for purposes of determining which creditors were entitled to vote on the Plan. Solicitation Packages (as defined in the Disclosure Statement Order) were mailed on December 3, 2007. All votes to accept or reject the Plan were to have been received by 4:00 p.m. (Eastern Standard Time) on December 21, 2007.

CONFIRMATION OF CHAPTER 11 PLAN OF REORGANIZATION

On April 28, 2008, a hearing was held before the Honorable James M. Peck to consider confirmation of the Plan (the "Confirmation Hearing"). Following the Confirmation Hearing, the Bankruptcy Court entered an order confirming the Plan (the "Confirmation Order").
